Welcome to HyperValet. These Terms and Conditions ("Terms") govern your access to and use of the HyperValet platform, services, and website (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Acceptance of Terms

By creating an account, accessing, or using HyperValet, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

3. Use of Service

3.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By using HyperValet, you represent and warrant that you meet these eligibility requirements.

3.2 Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Acceptable Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission

4. Service Description

HyperValet provides a comprehensive platform for valet operators to manage vehicle parking services, including but not limited to booking management, employee tracking, incident reporting, payment processing, and site management. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

5. Subscription and Payment

5.1 Subscription Plans: HyperValet offers various subscription plans with different features and pricing. Details of current plans are available on our website and may be updated from time to time.

5.2 Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually) as selected by you. You authorize us to charge your payment method for all applicable fees.

5.3 Refunds: Refund policies are subject to the specific terms of your subscription plan. Please contact us for information about refunds.

5.4 Price Changes: We reserve the right to modify subscription fees. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

6. Payments, POS & Settlements

Payments & Billing

HyperValet enables customers to pay for valet services through both online digital payment methods and on-site POS/EDC terminals, depending on the operator's configuration.

By using the Service, you agree that applicable parking or valet charges may be collected electronically or through authorized payment devices.

Accepted Payment Methods

Payments may be processed via:

  • Credit/Debit Cards
  • UPI
  • Net Banking
  • Wallets
  • QR-based payments
  • POS/EDC terminals
  • Cash (where permitted by the operator)

HyperValet reserves the right to enable or disable specific payment methods at its discretion.

Third-Party Payment Processing

All payments are processed through authorized third-party payment gateways and POS providers. HyperValet:

  • Does not store full card or banking credentials
  • Does not directly process sensitive financial data
  • Acts solely as a technology facilitator

Payment processing is subject to the terms and policies of the respective gateway or bank.

Transaction Authorization

By making a payment through HyperValet, you:

  • Authorize the applicable charges
  • Confirm that you are legally permitted to use the chosen payment method
  • Agree that charges may include applicable taxes, fees, or penalties

Failed or declined transactions may result in service delays or inability to retrieve the vehicle until payment is completed.

POS / On-Site Payments

For payments made using POS/EDC terminals:

  • Card details are captured directly by the payment device
  • HyperValet records only transaction references and status
  • Payment settlement is handled by the respective bank or provider

HyperValet is not responsible for terminal connectivity issues or bank authorization failures.

Vendor Settlements & Revenue Sharing

For operators and vendors using HyperValet:

  • Payments may be settled through integrated gateway or settlement partners
  • Revenue sharing or commission structures may apply as per subscription or contract
  • Settlement timelines depend on the payment provider and banking system

HyperValet provides reconciliation reports for operational transparency but does not guarantee settlement timelines controlled by third parties.

Refunds & Cancellations

Refunds, where applicable:

  • Will be processed through the original payment method
  • May be subject to operator policies
  • May take standard banking timelines to reflect

HyperValet is not liable for delays caused by banks or payment processors.

Charges & Fees

Users and operators acknowledge that:

  • Service or subscription fees may apply
  • Payment gateway or processing fees may apply
  • Taxes (including GST) may be applicable
  • All charges are clearly communicated through the platform or agreement

Data Security

HyperValet implements industry-standard safeguards for transaction data; however, users acknowledge that payment processing involves third-party providers, and HyperValet is not liable for breaches outside its direct control.

Limitation of Liability

HyperValet shall not be responsible for:

  • Failed or declined payments
  • Bank or gateway downtime
  • Settlement delays
  • Incorrect details entered by users
  • Losses arising from third-party payment systems

Liability is limited to the extent permitted under applicable law.

Compliance

HyperValet's systems are designed to support:

  • Secure payment processing
  • Audit and reconciliation
  • Regulatory and tax compliance
  • Transparent transaction records

Operators are responsible for complying with local laws, taxation, and financial regulations.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by HyperValet and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our express written permission.

8. User Content

8.1 Ownership: You retain ownership of any content you submit, post, or display on or through the Service ("User Content").

8.2 License: By submitting User Content, you grant HyperValet a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content for the purpose of providing and improving the Service.

8.3 Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to grant the license described above.

9. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

10. Limitation of Liability

To the maximum extent permitted by law, HyperValet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless HyperValet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service or violation of these Terms.

12. Termination

12.1 By You: You may terminate your account at any time by contacting us or using the account termination features in the Service.

12.2 By Us: We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
